1.1. Parties: This Agreement is between BizBrolly Solutions Pvt. Ltd. (“Orwide”, “we”, “us”) and you or the organization you represent (“Subscriber”).

1.2. Acceptance: By registering, subscribing, using, or accessing any aspect of the Orwide platform or mobile applications (“Services”), Subscriber and its Authorized Users agree to these Terms of Service (“Agreement”). If you do not agree, you may not use the Services.

1.1. Effective Date: The date Subscriber first accesses or uses the Services under a valid Order Form or Subscription Contract.

2.1. Order Form: Document specifying the Services, subscription term, fees, and usage limits.

2.2. Authorized Users: Subscriber’s event organizers, community managers, and attendees granted access under Subscriber’s account.

2.3. Subscriber Content: All data, text, files, event details, tickets, attendee lists, messages, or other materials uploaded by Subscriber or Authorized Users.

2.4. Confidential Information: Proprietary or non-public information of either Party, including pricing, Subscriber Content, business strategies, and technical data.

3.1. License: Subject to compliance with this Agreement, Orwide grants Subscriber a limited, non-exclusive, non-transferable license to access and use the Services solely for event and community management purposes.

3.2. Restrictions: Subscriber and Authorized Users shall not::

• Reverse-engineer or attempt to derive source code.
• Copy, modify, or publicly display Services.
• Circumvent subscription controls or usage limits.
• Resell or sublicense the Services.
• Use the Services to host illegal, fraudulent, or harmful content.

4.1. Account Management: Maintain accurate details; notify Orwide of unauthorized access.

4.2. Security: Enforce secure logins and reasonable safeguards.

4.3. Lawful Use: Ensure all use complies with laws. Prohibited: illegal content, harassment, spam, malicious code.

4.4. Age Verification: Users must be at least 18 years old.

4.5. Data Rights & Permissions: Subscriber warrants it has rights to provide data and consents to Orwide processing event-related personal data.

5.1. Fees: As agreed in contract. Custom pricing applies per Subscriber.

5.2. Payments: Event attendees pay organizers directly outside the app. Orwide does not process ticket or attendee payments.

5.3. Billing: Subscription fees for organizers are billed as per contract with BizBrolly.

6.1. Term: Commences on Effective Date, continues as per contract, auto-renews unless terminated with 30 days’ notice.

6.2. Termination for Cause: Either Party may terminate for material breach uncured within 30 days.

6.3. Insolvency: Immediate termination on insolvency, bankruptcy, or cessation of business.

6.4. Effect of Termination: Subscriber access ceases; event data retrievable for 30 days. Orwide deletes data after 60 days unless required by law.

7.1. Uptime: Orwide targets high availability, excluding scheduled maintenance. No guaranteed SLA credits apply.

7.2. Support : Email support available at Hello@BizBrolly.com. Response times vary by issue priority, generally within business hours.

8.1. Privacy Policy: All personal data handled per Orwide Privacy Policy.

8.2. Data Scope: Orwide processes user profiles, event details, tickets, messages, and related event data. Sensitive HR/financial data is not collected.

8.3. Security: Orwide employs standard encryption and access controls.

9.1. Both Parties agree to protect Confidential Information with reasonable care.

9.2. Disclosure permitted only to affiliates, employees, or as legally required.

10.1. Orwide retains all IP rights in the Services. Subscriber retains rights to Subscriber Content.

10.2. Subscriber grants Orwide a license to use anonymized feedback and improvements.

11.1. Orwide warrants Services will function in material conformance with documentation.

11.2. Services are otherwise provided “as-is” and “as-available”, with no implied warranties.

12.1. By Orwide: Orwide defends Subscriber against third-party IP claims arising from authorized use.

12.2. By Subscriber: Subscriber indemnifies Orwide for claims relating to Subscriber Content, illegal events, or unauthorized use.

13.1. Neither Party liable for indirect, incidental, or consequential damages.

13.2. Orwide’s total liability under this Agreement shall not exceed the lesser of (i) fees paid by Subscriber in the 6 months preceding the claim, or (ii) INR 100,000.

14.1. Law: Indian law applies.

14.2. Jurisdiction: Courts of New Delhi, India.

14.3. Arbitration: Disputes unresolved within 30 days referred to arbitration under ICA, Delhi, English language.

15.1. Force Majeure: Excused delays for events beyond control.

15.2. Assignment: No transfer without written consent, except in mergers/acquisitions.

15.3. Notices: Sent to Hello@BizBrolly.com (Orwide) or Subscriber’s registered email.

15.4. Entire Agreement: This Agreement, Privacy Policy, and Order Form together form the complete understanding.
